NY KNICKS “HOTSHOT CHALLENGE” CONTEST

OFFICIAL RULES

NO PURCHASE NECESSARY. VOID WHERE PROHIBITED.

1. CONTEST PERIOD:  Contest begins at 12:00 p.m. Eastern Time (“ET”) (noon) on December 20, 2019 and ends at 11:59 p.m. ET on January 12, 2020 (the “Contest Period”).  Entries will be accepted from 9:00 a.m. ET on December 20, 2019 through 11:59 p.m. ET on January 6, 2020 (the “Initial Contest Period”).  Finalists will compete on January 12, 2020 (see details below) (“Finalist Contest Period”).

2. ELIGIBILITY:  Contest is open to legal U.S. residents, at least thirteen (13) years old at time of entry, who reside within a 150-mile radius from the contiguous border of the city of New York, New York, and who are not current members of any college, university, or professional basketball team (each, a “Contestant”).  Minors must have his/her parent/legal guardian’s permission to enter.  Contest is void outside the area stated herein and where prohibited by law. Directors, employees, and the immediate family (spouse, parent, sibling, children, grandparent or grandchildren and their respective spouses, regardless of where they reside) and/or household members, whether or not related, of individuals employed by New York Knicks, LLC (“Knicks” or “Sponsor”), Squarespace, Inc. (“Squarespace”), MSG Sports, LLC (“MSG”), The National Basketball Association (the “NBA”), the NBA Member Teams, NBA Media Ventures, LLC, NBA TV, LLC, and NBA Enterprises, LLC (collectively, the “NBA Entities”), NEX Team Inc., Turner Digital Basketball Services, Inc., and all of their respective parents, subsidiaries, affiliates, directors, officers, employees, advertising and promotional agencies, are ineligible to participate. Contest is subject to all applicable federal, state and local laws.

3. HOW TO ENTER:  During the Initial Contest Period, download the “HomeCourt” app (the “App”) from your iOS devise and follow the prompts to sign up (downloading and signing up for the App are free).  Limit one (1) App user sign-up per person and per email address.  Once you are signed-up, follow the direction in the App to participate in the Contest.  Limit ten (10) attempts per person/registered user per day.  Incomplete Entries will be disqualified; however, Sponsor reserves the right to allow for minor deviations from the guidelines and restrictions set forth herein, based on clear intent to comply with these Official Rules, as determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to void any and all Contestants who submit more than one entry using multiple/different addresses, identities, or any other methods, or who Sponsor believes has attempted to tamper with, influence or impair the administration, security, fairness, or proper administration of this Contest. Proof of entering information is not considered proof of delivery to or receipt by Sponsor of an entry. Any use of robotic, automatic, programmed method or any other method which subverts the entry process will void all such entries by such methods. All entries become the property of Sponsor.

4. INITIAL CONTEST DETAILS:  Each Contestant will have sixty-seconds (0:60) to earn points by shooting from various “hot spots” across the court with different assigned point values: two (2) points for a layup (capped at two (2) attempts per game); three (3) points from the baseline; four (4) points from the elbow; and five (5) points at the top of the 3-point arc.  Contestants receive a “combo bonus” worth 5-points each time he/she makes shots from all spots.  Contestants must utilize a regulation height basket (10’) and a single regulation-sized ball (29.5” for men, 28.5” for women).  Contest must be completed without the help of rebounders or rebounding devices.  App users can attempt the Contest up to 10 times per day with their best performance qualifying for Contest.

The three (3) Contestants with the highest scores will move on to the Finalist Contest Period (as described below) (each, a “Qualifying Finalist”).  If multiple Contestants have the same score, leaderboard rank will be determined based on the following tie-breaker procedures: (1) the Contestant with the highest number of makes from the highest value “hot spot” (i.e., most total makes from the 5-point spot, 4-point spot and so forth) and, if still tied; (2) the Contestant with the most consecutive makes from the hot spots in descending point value order.

5. QUALIFYING FINALIST DETERMINATION:  Qualifying Finalists will be contacted by Sponsor. If a Qualifying Finalist does not respond and comply with the instructions within forty-eight (48) hours after Sponsor sends the initial notification, he/she may be disqualified and forfeits the prize. Each Qualifying Finalist must comply with all terms and conditions of these Official Rules, and winning a prize is contingent upon fulfilling all requirements.  Each Qualifying Finalist must be able to attend the game stated below on January 12, 2020 and may be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release (or the parent or legal guardian of Contestant if applicable) within forty-eight (48) hours of the date of notice in order to claim his/her prize. If a Qualifying Finalist cannot be contacted, cannot attend the applicable game, fails to sign and return the Affidavit of Eligibility and Liability/Publicity Release within the required time period, or is not in compliance with these Official Rules, the Qualifying Finalist may be disqualified and forfeit the prize. In the event that a Qualifying Finalist is disqualified for any reason, Sponsor may award the prize to a runner-up, time permitting.

6. QUALIFYING FINALIST PRIZES (3):  Each Qualifying Finalist will have the opportunity to participate in the Final Contest at the Arena on January 12, 2020 (exact details as determined by Sponsor); and (ii) two (2) tickets to a Knicks regular season home game at the Arena (exact date and time as determined by Sponsor) (Approximate Retail Value (“ARV”) of each prize: $274). Transportation to/from the Arena is not included as part of the prize.

7. FINALIST CONTEST PERIOD DETAILS:  The Qualifying Finalists will be brought out onto the court where there will participate in the final Hotshot Challenge.  One at a time, Qualifying Finalists will have one (1) chance for sixty-seconds (0:60) to earn points by shooting from various “hot spots” across the court with different assigned point values: two (2) points for a layup (capped at two (2) attempts per game); three (3) points from the baseline; four (4) points from the elbow; and five (5) points at the top of the 3-point arc.  Qualifying Finalists receive a “combo bonus” worth 5-points each time he/she makes shots from all spots.  The Qualifying Finalist with the highest score will be deemed the winner of the Grand Prize (as described below) (the “Winner”).  If multiple Qualifying Finalists have the same score, leaderboard rank will be determined based on the following tie-breaker procedures: (1) the Qualifying Finalist with the highest number of makes from the highest value “hot spot” (i.e., most total makes from the 5-point spot, 4-point spot and so forth) and, if still tied; (2) the Qualifying Finalist with the most consecutive makes from the hot spots in descending point value order.  Decisions of Sponsor are final and binding.

8. PRIZES:

GRAND PRIZE:  Winner will receive automatic entry into the NBA Hotshot Competition (“Final Competition”) at the NBA All-Star Preliminary Competition, sponsored and administered by the NBA (visit www.nba.com for more details) scheduled to take place between February 14, 2020 and February 16, 2020 (see below for details on the Final Competition Prize). Winner will be flown (if necessary) to Chicago, IL for a 3-night trip for two (2) (the winner (plus one guest)), to the NBA All-Star Preliminary Competition that will take place during the NBA All-Star 2020 consisting of round-trip coach air transportation from a major airport nearest to Winner’s residence, standard double-occupancy hotel accommodations, and two (2) tickets to select NBA All-Star 2020 events (ARV: $3,000).  Actual ARV will vary depending on Winner’s departure location.  Sponsor, in its sole discretion, reserves the right to provide ground transportation in place of air transportation if Winner lives within a reasonable driving distance of Chicago, IL as determined by Sponsor, and to award no additional compensation or substitution for the difference in prize value. Travel and hotel arrangements determined by Sponsor in its sole discretion and must be made through Sponsor’s agent, on a carrier of Sponsor’s choice. Trip must be taken on dates and times designated by Sponsor or prize will be forfeited in its entirety and may be awarded to an alternate winner, time permitting. Sponsor reserves the right to change dates. Winner and guest must travel together on the same itinerary. Guest must be of legal age of majority in his/her jurisdiction of residence (and at least 18) unless child or legal ward of winner and sign a liability/travel release. Certain travel restrictions may apply.

FINAL COMPETITION PRIZE:  Winner will compete against thirty-one (31) other contestants (one (1) from each NBA team) in the Hotshot Challenge at NBA All-Star 2020.  The winner will receive a prize package consisting of: (i) one (1) trophy and (ii) one (1) NBA All-Star 2021 experience consisting of round-trip coach air transportation from a major airport nearest to winner’s residence to the U.S. or Canada, standard double-occupancy hotel accommodations, and two (2) tickets to select NBA All-Star 2021 events (ARV of Final Competition Prize: $3,000).  Actual ARV will vary depending on winner’s departure location.  The NBA Entities, in their sole discretion, reserves the right to provide ground transportation in place of air transportation if winner lives within a reasonable driving distance of the NBA All-Star 2021 location as determined by the NBA Entities, and to award no additional compensation or substitution for the difference in prize value. Travel and hotel arrangements determined by the NBA Entities in their sole discretion and must be made through the NBA Entities’ agent, on a carrier of NBA Entities’ choice. General Prize Conditions/Restrictions: Tickets are subject to terms and conditions stated thereon.  Seat locations are determined by Sponsor.  Winner and guest must comply with all venue rules and regulations.  Failure to do so may result in forfeiture of prize.  If an event is cancelled or postponed, no compensation or substitution will be provided.  If the game at which the Final Competition is scheduled to take place is cancelled or postponed, the Final Competition will be cancelled as well and the terms of the tickets shall govern.  Exact seat locations at the designated NBA All-Star 2020 and NBA All-Star 2021 events to be determined by the NBA Entities in their sole discretion. All other prize details are at Sponsor’s sole discretion. Prizes are awarded “as is” with no warranty or guarantee, either express or implied. Winner (or the parent or legal guardian of Contestant if applicable) is responsible for all federal, state and local taxes and fees and other costs and expenses associated with prize receipt and/or use that are not expressly included in the prize description, including but not limited to transportation to and from applicable events, meals, gratuities and other travel expenses. No cash or other substitution, assignment or transfer of any prizes permitted, except by Sponsor, who reserves the right to substitute a prize or prize component with cash or another prize of comparable or greater value. All prize details are at Sponsor’s and/or the NBA Entities’ sole discretion.

9. PUBLICITY:  Except where prohibited, participation in the Contest constitutes Contestant’s (or the parent or legal guardian of Contestant if applicable) consent to Sponsor, Squarespace, MSG, the NBA Entities and all of their respective parent, subsidiary and affiliated companies and their designees to use his/her name, likeness, photograph, voice, opinions, biographical information, hometown and state for advertising and promotional purposes, in any manner, in any and all media now or hereafter devised, worldwide in perpetuity, without further payment or consideration, notification or permission.

10. PRIVACY POLICY:  Personal information provided in connection with this Contest will be used in accordance with the Knicks’ Privacy Policy, which can be viewed at http://www.themadisonsquaregardencompany.com/privacy.html.

11. GENERAL CONDITIONS:  Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, stolen, delayed, misdirected, undelivered or garbled emails; or for errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitations, errors or difficulties which may occur in connection with the administration of the Contest, the processing entries, the tabulation of scores, the announcement of the prizes, or in any Contest-related materials or the cancellation or postponement of any game or the functionality of the App.  Sponsor reserves the right to cancel or modify the Contest if fraud, technical failures or any other factor impairs the integrity of the Contest, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes using the eligible entries received up to the time of the impairment or as otherwise deemed fair and appropriate by Sponsor. Sponsor reserves the right in its sole discretion to disqualify any individual Sponsor finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules, or in an unsportsmanlike or disruptive manner and void all associated entries. Any attempt by any person to deliberately undermine the legitimate operation of the Contest is a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law.  Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

12. RELEASE/LIMITS OF LIABILITY:   By entering this Contest, each entrant, Qualifying Finalist and Winner (or the parent or legal guardian of Qualifying Finalist or Contestant if applicable) agree to release and hold harmless the Knicks, Squarespace, MSG, the NBA Entities, NEX Team Inc., Turner Digital Basketball Services, Inc., their parents, affiliates, subsidiaries, officers, directors, shareholders, agents, employees and all others associated with the development and execution of this Contest (collectively, “Released Parties”) from and against any losses, damages, rights, claim or cause of action of any kind arising, in whole or in part, directly or indirectly, out of participation in the Contest (including any injury or damage related thereto) or resulting directly or indirectly, from acceptance, possession, use, or misuse of any prize awarded in connection with the Contest (including any travel or activity related thereto), including without limitation personal injury, death, and/or property damage, as well as claims based on publicity rights, defamation, and/or invasion of privacy.

13. DISPUTES: Each entrant (or the parent or legal guardian of entrant if applicable) agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of New York or the appropriate New York State Court located in New York; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest and in no event will entrants be permitted to obtain attorneys’ fees or other legal costs; and (iii) under no circumstances will entrants be permitted to obtain awards for and entrants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
