Official Rules
NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW. PRIZE ACCEPTANCE RELEASE IS REQUIRED.
1. Eligibility. The Celtics Hotshot Challenge (the “Contest”) is only open to legal residents of the U.S. who are age eighteen (18) or older at the time of entry, and are (a) residents of Massachusetts, (b) residents of Rhode Island, New Hampshire, Vermont, and Maine who live within a one hundred fifty (150) mile radius of Boston, Massachusetts, or (c) residents of Connecticut who live within a seventy-five (75) mile radius of Boston, Massachusetts (the “Territory”) as of December 11, 2019. Employees, household members (legally related or not) of employees, and the immediate family members (i.e., spouses, parents, legal-guardians, in-laws, siblings, grandparents, grandchildren and children) of employees of the Boston Celtics, the National Basketball Association and its Member Teams, NBA Properties, Inc., and/or any of the respective parents, subsidiaries, affiliates, directors, officers, governors, owners, advertising and promotion agencies and agents of any of the preceding entities (collectively, the “NBA Entities”) are not eligible to enter or win. Any individual who is a current member of any college, university, or professional basketball team is not eligible to enter or win. The Contest will consist of (1) individual challenge (the “Challenge”), and one (1) on-court promotion, as described below. The Grand Prize Winner (as defined below) will have the opportunity to participate in the final Hotshot Challenge at NBA All-Star 2020 in Chicago, Illinois (the “Competition”).
2. Time for and Method of Entry. There is one (1) entry period for the Contest (the “Entry Period”), as follows:
The Entry Period will begin at 6:00 P.M. Eastern Time (“ET”) on December 11, 2019, and will end at 3:00 P.M. ET on December 23, 2019. No entries will be accepted after 3:00 P.M. ET on December 23, 2019.
There is one (1) form of entry for the Contest, via the “HomeCourt” app (“App”), as follows:
a. If you are not already a registered user of the App, download the “HomeCourt” app on your iOS device and follow the prompts to sign up (the download and sign up are free, but are subject to the App’s Terms of Use and Privacy Policy). If you are already a registered user of the App, sign in as directed. Limit one (1) App User Sign Up per person and per email address. Additional App User Sign ups received from a single person or email address will be void.
b. Once you’re signed in, you may immediately link to the Challenge by tapping on the banners, buttons, and/or links within the App. If you haven’t participated in a prior NBA Challenge, you must also agree to the NBA’s Terms of Use and Privacy Policy. Please note that all personally identifiable information submitted by participants is subject to, and will be treated in a manner consistent with, the App’s Terms of Use accessible at: https://www.homecourt.ai/legal/terms and Privacy Policy accessible at: https://www.homecourt.ai/legal/privacy; and NBA’s Terms of Use accessible at: https://global.nba.com/homecourt-terms-of-use/ and Privacy Policy accessible at: https://www.nba.com/news/privacy_policy.html.
c. Follow the in-App instructions to participate in your Challenge. Limit ten (10) Challenge attempts per person/registered user per day during the Entry Period. The use of any device or software to automate or subvert the sign up or Challenge process is prohibited and any sign up received through such means as solely determined by the NBA Entities will be void.
Each entrant agrees to participate in the manner and according to the rules, procedures, tiebreakers, and conditions specified by the NBA Entities in their sole discretion. All details regarding the mechanics, judging, other rules, procedures and conditions for participation in a respective Challenge will be determined by the NBA Entities (in their sole discretion) and will be listed on the App or provided by the NBA Entities onsite prior to the start of the applicable Challenge.
Any disputes (including but not limited to eligibility, Challenge rules, Challenge clock malfunctions, etc.) will be resolved by the NBA Entities (or a representative designated by the NBA Entities), whose decisions shall be final, conclusive and binding.
Entrants are responsible for any charges of online service providers or wireless carriers. The NBA Entities reserve the right, in their sole discretion, to void any entries of individuals whom the NBA Entities believes have attempted to tamper with or impair the administration, security, fairness or proper play of this Contest or is in violation of these Official Rules. Each entrant agrees that the NBA Entities will have sole responsibility for resolving any disputes and rules violations that may arise in connection with the Contest and all decisions are final and binding. The NBA Entities reserve the right to modify these Official Rules for clarification purposes.
Mechanically reproduced entries may be disqualified. Entries generated by a script, computer programs, macro, programmed, robotic or other automated means are void and may be disqualified. Sponsor (as defined in Section 11) is not responsible for lost, late, incomplete, inaccurate, forged, mass-reproduced or mass-transmitted, mutilated, stolen, destroyed, invalid, delayed, unintelligible, misdirected, technically corrupted, undelivered or garbled electronic entries or emails; and such entries are void; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or viruses or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, undelivered or improperly formatted emails containing a link to the entry questionnaire, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prizes, or in any Contest-related materials or the cancellation or postponement of the game. For purposes of this Contest, an online entry is “received” when the Website’s servers record the entry information. Proof of sending (such as an automated computer receipt confirming entry or “thanks for entering” message) does not constitute proof of actual receipt of an entry for purposes of this Contest. The Website’s database clock will be the official timekeeper for this Contest. Illegible and/or incomplete entries and entries submitted by entrants who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. Those who do not follow all of the instructions, provide the required information in the Form, or abide by these Official Rules or other instructions of Sponsor may be disqualified.
Sponsor is not responsible for the actions of entrants in connection with the Contest, including entrants’ attempts to circumvent the Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Contest. Persons found tampering with or abusing any aspect of this Contest, or whom Sponsor believes to be causing malfunction, error, disruption or damage may be disqualified. Additionally, any attempt to cheat the Contest, as determined at the sole and absolute discretion of Sponsor, may result in immediate disqualification of the entrant, as well as other possible consequences, including disqualification from any and all of Sponsor’s existing and future contests and sweepstakes. ANY ATTEMPT BY A PERSON TO DAMAGE ANY WEBSITE (INCLUDING THE CONTEST WEBSITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK ALL LEGAL AND EQUITABLE REMEDIES FROM AND AGAINST ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right, in its sole and absolute discretion, to disqualify (or terminate the prize of) any individual who is found to be, or suspected of, acting in violation of these Official Rules, or to be acting in an unsportsmanlike, obscene, immoral or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person.
3. Prize Rules. Sponsor reserves the right, in its sole discretion, to modify, suspend, terminate the Contest (or any portion thereof), or take any other action deemed necessary, should any virus, bugs, non-authorized human intervention or other causes beyond the reasonable control of Sponsor, including, but not limited to, war or armed conflict (whether or not officially declared), labor controversy or threat thereof, and/or acts of God, corrupt or impair the administration, security, fairness or proper play of the Contest and, in the event of termination or suspension, at its discretion, select winner for the drawing at issue from among all eligible, non-suspect entries received as of the date of the event requiring such termination or suspension. By participating in this Contest, entrants agree to be bound by these “Official Rules,” and the decisions of Sponsor, which are final and binding in all respects. Failure to abide by these Official Rules may result in disqualification. All materials submitted become the property of Sponsor and the NBA, and will not be returned. In the event of a dispute over the identity of an online entrant, entry will be deemed submitted by the registered account holder of the e-mail address associated with the entry for the domain associated with the submitted address provided that person is eligible. Prize Winner (as defined below) may be required to show proof of being the registered account holder. Registered account holder is defined as the person assigned to an e-mail address by an Internet access provider, on-line service provider or other organization responsible for assigning e-mail addresses. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible. Sponsor is not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant’s e-mail account to receive e-mail messages.
Prizes are not transferable, and no substitutions or cash redemptions are allowed, except by Sponsor, who reserves the right to substitute a prize (or component thereof) with one of comparable or greater retail value, at its sole discretion. All costs and expenses not stated herein as being provided in connection with the redemption, receipt and/or use of the prize are the responsibility of Prize Winner, including, without limitation, transportation. All prize details are at Sponsor’s sole discretion. Prize details and availability are subject to change and prize provider’s rules and restrictions, and in the event that Sponsor is unable to provide a Prize Winner with his/her prize, Sponsor may elect to provide Prize Winner with the approximate value of such item in cash or award an alternate prize of comparable or greater value. Unclaimed prizes will be forfeited.
4. Prize Winner Selection and Notification. A total of two (2) Challenge winners (each, a “Prize Winner,” and collectively, the “Prize Winners”), and from among the Prize Winners, one (1) grand prize winner (“Grand Prize Winner”), will be selected as follows:
On or around December 23, 2019, the two entrants with the two highest Challenge scores, as determined by the NBA Entities as of the Entry Period, will be selected as Prize Winners. Each Prize Winner will be notified by e-mail and telephone (if possible) within a reasonable time after the determination, and must respond by 10:00 A.M. ET on December 30, 2019. It is the sole responsibility of each entrant to notify Sponsor if his or her contact information changes. Sponsor is not responsible for false, incorrect, changed, incomplete, or illegible contact information. In the event an entrant selected as Prize Winner cannot be contacted within a reasonable time frame or declines the prize, the Challenge entrant with the next-highest Challenge score, as determined by the NBA Entities as of the Entry Period, will be selected as Prize Winner. Each confirmed Prize Winner will receive (i) two (2) tickets for Prize Winner and one (1) guest to attend the Boston Celtics vs. Atlanta home game scheduled to be played at the TD Garden January 3, 2020 (the “Game”), and (ii) the opportunity to participate in the on-court promotion during the Game (Approximate Retail Value (“ARV”) of game tickets $420). Specific seats will be selected by Celtics in their sole discretion.
The on-court promotion held during the Game will consist of a “Hotshot” contest on the court. Each Hotshot contestant will attempt to score as many points as possible from 5 “hot spots” on the court within one (1) minute. The contestant with the highest score (i.e., the most made shot attempts) will be deemed the Grand Prize Winner. The Grand Prize Winner will receive a three (3)-night trip for two (2) (consisting of the Grand Prize Winner and one (1) travel companion) to the Competition that will take place during the NBA All-Star 2020, consisting of round-trip coach air transportation from the major airport nearest to Grand Prize Winner’s residence in Territory, standard double-occupancy hotel accommodations, and two (2) tickets to select NBA All-Star 2020 events (ARV of trip Grand Prize package is $3,000). Exact details of the Competition will be provided upon Grand Prize winner’s acceptance of the Grand Prize. Actual prize value may vary depending on Grand Prize Winner’s city of departure. Travel and hotel arrangements will be determined by the NBA Entities in their sole discretion and must be made through the NBA Entities’ agent, on a carrier of the NBA Entities’ choice. Trip must be taken on dates and times designated by the NBA Entities or prize will be forfeited in its entirety and may be awarded to an alternate winner. The NBA Entities reserve right to change dates. Grand Prize Winner and his/her travel companion must travel together on the same itinerary. Travel companion must be of legal age of majority in his/her jurisdiction of residence (and at least 18) unless child or legal ward of Grand Prize Winner. The travel companion of Grand Prize Winner will be required to execute and return a liability release and (unless prohibited by law) publicity release prior to the issuance of travel documents and other prize materials. If the travel companion is a minor child or legal ward of the Grand Prize Winner, the Grand Prize Winner will be required to execute the liability release and publicity release (unless prohibited by law) on his/her behalf. If the NBA All-Star Competition is canceled or postponed for any reason, the NBA Entities may substitute the prize (or portion thereof) with one of comparable or greater value, at their sole discretion. Grand Prize Winner and travel companion must comply with arena rules and regulations. Failure to do so may result in forfeiture of applicable prize element. Exact seat locations at the designated NBA All-Star 2020 events to be determined by the NBA Entities in their sole discretion. All other prize details are at the NBA Entities’ sole discretion. Certain travel restrictions may apply.
4. Additional Prize Terms. Prize Winners are solely responsible for all applicable federal, state and local taxes and any expenses associated with any prize he or she receives, including any required advance withholding payments. An IRS Form 1099 or IRS Form W2G may be issued in the name of the relevant winner for the actual value of the prize received. Prize Winners must show a photo ID upon Sponsor’s request to redeem the prize. Prize Winner’s attendance at any Celtics game is subject to the general ticket rules and regulations established from time to time by Delaware North Companies, Inc. – Boston (“DNC-B”), the owner of the TD Garden, the owner of the away arena, and by the Celtics (the “Ticket Rules”). In the event of a violation of the Ticket Rules, DNC-B, the owner of the away arena, and/or the Celtics shall have the right to eject the violators from the relevant arena. If any Prize Winner or Prize Winner’s guest is ejected from the TD Garden or any other arena, he or she shall not have any rights to participate in any applicable on-court promotion, and shall not have any rights to any other prizes or compensation. Sponsor will not be responsible for awarding any un-awarded portion of a prize to Prize Winner if Prize Winner undertakes activities or communicates messages or images or engages in speech publicly or made known publicly that: (a) are sexually explicit, unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; (b) are obscene or offensive, or may create public disrepute, contempt, scandal or ridicule; (c) defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any third party’s or prize provider’s personal or intellectual property rights or contain disparaging remarks about other people or companies; (d) are inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate (which shall be determined by Sponsor, in its sole and absolute discretion); and/or (e) otherwise violate the terms of any of the agreements that Prize Winner has agreed to comply with as an entrant of this Contest.
Except where prohibited by law, in consideration for being awarded a prize, Prize Winner hereby agrees and consents, without further authorization, compensation or remuneration of any kind, to the use of the Prize Winner’s name, voice, biographical material, and/or likeness, in all forms of media and by all manners (now and hereafter known), worldwide, in perpetuity, in any and all advertising, Contest and other publicity conducted by Sponsor and the NBA Entities. Entrants agree not to issue any publicity concerning Sponsor or NBA Entities. Prize Winner and/or guest may be required to execute release of liability, publicity releases, and/or an affidavit affirming his/her eligibility to enter and win and that he/she agrees to all terms and conditions of the Contest, and other documentation reasonably requested by Sponsor (collectively, the “Required Documentation”); failure to execute such Required Documentation if requested will result in ineligibility for any prizes and another winner will be selected.
Sponsor reserves the right to conduct a background check of any and all records of Prize Winner/guest, including without limitation, civil and criminal court records and police reports. To the extent necessary under law, Prize Winner/guest shall authorize this background check. Sponsor may also take all steps necessary to corroborate any information provided to Sponsor by winner/guest in his/her interview. In that regard, winner/guest will be obligated to provide necessary contacts and information so that Sponsor may conduct such investigation. Sponsor reserves the right (in its sole discretion) to disqualify the Prize Winner/guest from any prize element, based on the background check.
5. Odds of Winning. Odds of becoming a Prize Winner are dependent on the total number of eligible entries received during the applicable Entry Period. There will be a total of two (2) Prize Winners selected from among all eligible entries submitted during the Entry Period, and one (1) Grand Prize Winner selected from among the Prize Winners.
6. Liabilities and Dispute Resolution. By entering the Contest, all entrants agree that Sponsor maintains the right to decide all matters and disputes arising from the Contest, that Sponsor’s determination of the winner will be final and binding, as well as agreeing to hold harmless and indemnify Sponsor and the NBA Entities from and against any liability, damages, or causes of actions (however named or described), with respect to or arising out of: (i) the entrants’ participation in the Contest, including, but not limited to, personal injury, death and/or property damage, as well as claims based on publicity rights, defamation and/or invasion of privacy; (ii) the delivery, misdelivery, acceptance, possession, use of, misuse of, or inability to use any prize (including any type or manner of costs or damages), whether under a theory of contract, tort (including negligence), warranty, or any other theory; and (iii) travel to or from, and participation in, any Contest-related activity. By accepting a prize, winner agrees that Sponsor and the NBA Entities will have no liability and will be held harmless by winner for any liability, loss, injury, or damage to property or to person, including death, due in whole or in part, directly or indirectly, by reason of the acceptance, participation in, use or misuse of the prize or participation in the Contest, even if caused or contributed to by the negligence of Sponsor or the NBA Entities.
7. Identification of Winners. For identification of Prize Winners, or for a copy of the Official Rules, send a written request along with a self-addressed stamped envelope for receipt by January 23, 2020 to: “Celtics Hotshot Challenge” c/o Boston Celtics, 226 Causeway Street, 4th Floor, Boston, MA 02114. Please indicate whether you are requesting identification of the winners or a copy of the Official Rules.
8. Arbitration. Except where prohibited by law, as a condition of participating in this Contest, all entrants agree that (1) any and all disputes and causes of action arising out of or connected with this Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held in New York County, New York; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than entrant’s actual out-of-pocket expenses (i.e., costs associated with participating in this Contest), and each entrant further waives all rights to have damages multiplied or increased.
9. Choice of Law. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrants and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the substantive laws of the State of New York, USA.
10. Privacy. Personally identifiable information that is submitted by entrants as part of the Contest will be used to administer the Contest, select the Prize Winners, and fulfill the prizes, and will be treated in accordance with the privacy policy accessible at http://www.nba.com/news/privacy_policy.html and https://www.homecourt.ai/legal/privacy.
11. Sponsor. Boston Celtics, 226 Causeway Street, 4th Floor, Boston, MA 02114.
12. Miscellaneous. The invalidity or unenforceability of any provision of these Official Rules or the Required Documentation will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules or the Required Documentation is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained therein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that or any other provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest-related materials, privacy policy, and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern, and control, and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
